SHM TERMS OF USE Version: 2026.07.18 Effective date: Pending synchronized release Last updated: 18 July 2026 1. ABOUT THESE TERMS These Terms of Use ("Terms") are an agreement between you and mindovaq for software and digital marketing, trading as Mindovaq ("Mindovaq", "SHM", "we", "us", or "our"), concerning your access to and use of the SHM mobile application, account, APIs made available through the app, content, and related services (together, the "Service"). By creating an account, selecting "Accept and continue", or using the Service, you agree to these Terms. You also acknowledge that you received the SHM Privacy Policy, Financial Disclaimer, and Advertising Disclosure. Acknowledging those notices does not create consent to optional advertising, tracking, or marketing processing; SHM requests any legally required consent separately. If you do not agree, do not create an account or use the Service. ELIGIBILITY You must be at least 18 years old and legally capable of entering into a binding agreement to use SHM. SHM is not directed to children. You may use SHM only where the Service is lawful and available. If you use SHM on behalf of an organization, you confirm that you have authority to bind that organization to these Terms. 3. WHAT SHM PROVIDES SHM is a market-information and trading-tools service. Features may include: - stock search and market-reference information; - support and resistance levels derived from technical analysis and historical price action; - latest-price references and update-status information; - favorites and price alerts; - position-sizing, average-price, and similar calculators; - notification preferences and push notifications; and - advertising-supported access to the Service. Supported instruments, markets, data sources, calculations, features, and availability may change. SHM does not provide a brokerage account, trade execution, custody, payment, deposit, lending, portfolio-management, or money-transfer service. 4. NO INVESTMENT ADVICE SHM and its content are provided for general educational and informational purposes only. Nothing in the Service is personalized investment, financial, trading, tax, accounting, or legal advice; a recommendation or solicitation to buy, sell, or hold a security; an offer to provide a regulated financial service; or a guarantee of any result. Support and resistance levels, alerts, latest-price references, calculators, notes, and other indicators are tools, not instructions. They may be incomplete, delayed, stale, inaccurate, or unsuitable for your circumstances. You are solely responsible for researching any investment, checking current data with an authorized market or broker, evaluating your objectives and risk tolerance, and obtaining advice from appropriately licensed professionals before acting. The separate Financial Disclaimer forms part of these Terms. 5. ACCOUNTS AND SECURITY You must provide accurate, current information and keep it updated. You are responsible for protecting your login credentials and for activity under your account. Do not share session tokens, attempt to bypass account controls, or allow another person to impersonate you. Tell us promptly at support@mindovaq.com if you suspect unauthorized access. We may require email verification, revoke sessions, or take reasonable security steps. Google Sign-In is also subject to Google's terms and privacy policy. You may delete your SHM account from Settings > Profile > Delete account. You may also request deletion at https://shm-backend.fly.dev/delete-account. Deletion is subject to the SHM Privacy Policy and lawful retention exceptions. 6. ALERTS AND NOTIFICATIONS Price alerts and push notifications are convenience features only. Delivery is not guaranteed and can fail or be delayed because of market-data timing, price-source availability, network conditions, device settings, operating-system restrictions, notification-service failures, or maintenance. An alert is not an instruction to trade. Never rely on SHM as your only method of monitoring a security, price, position, risk, or deadline. You control notification permission through your device and available SHM settings. Core access may not be conditioned on granting optional notification or tracking permission. 7. ADVERTISING AND COST SHM is currently free to use and earns revenue from advertising. It does not currently offer a paid subscription or in-app purchase. Ads may be provided by Appodeal and mediated advertising networks. Ads must be identifiable as advertising. An ad, advertiser, or advertised product is not endorsed, recommended, or guaranteed by SHM. Your interaction or transaction with an advertiser is between you and that advertiser and is subject to the advertiser's terms. See the Advertising Disclosure and Privacy Policy for ad formats, data use, choices, and reporting. If SHM later introduces a paid product, subscription, or purchase, we will provide the applicable price, store terms, renewal and cancellation information before purchase and update these Terms as required. 8. ACCEPTABLE USE You agree not to: - use the Service unlawfully, fraudulently, or to infringe another person's rights; - access another user's account or attempt to obtain credentials or non-public data; - bypass, disable, or interfere with security, rate limits, advertising controls, or technical restrictions; - scrape, harvest, copy, redistribute, sell, sublicense, or commercially exploit SHM data or content except with our written permission or as mandatory law permits; - reverse engineer, decompile, disassemble, modify, or create derivative works of the app except to the limited extent a restriction is prohibited by law or an applicable open-source license; - introduce malware, automate abusive requests, overload the Service, manipulate ad events, or engage in invalid ad traffic; - present SHM content as official exchange data, licensed professional advice, or a guaranteed trading signal; or - use SHM to violate securities, market-abuse, sanctions, export-control, consumer-protection, or other applicable law. 9. YOUR CONTENT Optional notes or support messages you submit remain yours. You give us a limited, non-exclusive right to host, copy, process, and transmit that content only as needed to operate, secure, support, and comply with law in relation to the Service. Do not submit unlawful content, another person's confidential information, brokerage credentials, bank details, or sensitive personal data in alert notes or support messages. 10. SHM CONTENT AND INTELLECTUAL PROPERTY The app, branding, user interface, software, compilations, and original content are owned by Mindovaq for software and digital marketing or its licensors and are protected by applicable intellectual-property laws. Subject to these Terms and the relevant app-store rules, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use SHM on devices you own or control for personal, non-commercial use. Market names, company names, symbols, logos, and third-party data may belong to their respective owners. Their appearance does not imply sponsorship or endorsement. 11. THIRD-PARTY DATA, SOFTWARE, AND LINKS SHM relies on third-party infrastructure, authentication, messaging, advertising, app stores, and market-data sources. Third-party services may be changed, unavailable, or subject to separate terms. Ads and links may take you outside SHM. We do not control and are not responsible for third-party content, availability, security, accuracy, products, or transactions. Open-source components remain subject to their applicable licenses. 12. SERVICE CHANGES AND AVAILABILITY We may add, change, suspend, or discontinue features; change supported markets or data sources; impose reasonable technical limits; or perform maintenance. We aim to give appropriate notice of material changes when practicable, but continuous or error-free availability is not guaranteed. Emergency, security, legal, provider, or market-data issues may require immediate action. 13. SUSPENSION AND TERMINATION You may stop using SHM or delete your account at any time. We may restrict, suspend, or terminate access when reasonably necessary to address a material breach of these Terms, security risk, fraud, illegal activity, invalid ad traffic, harm to users or the Service, or a legal requirement. Where appropriate and lawful, we will provide notice and an opportunity to address the issue. Sections that by their nature should survive termination—including intellectual property, disclaimers, limitations of liability, governing law, and accrued rights—will survive. 14. DISCLAIMERS To the maximum extent permitted by applicable law, SHM is provided "as is" and "as available". We do not warrant that the Service or any market information, technical level, price, calculation, alert, notification, ad, or third-party content will be uninterrupted, current, complete, accurate, secure, or suitable for a particular purpose. Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded. No statement by SHM creates a guarantee of investment performance or market outcome. 15. LIMITATION OF LIABILITY To the maximum extent permitted by applicable law, Mindovaq for software and digital marketing, its personnel, and its service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for loss of profits, opportunity, data, goodwill, or anticipated savings arising from or related to SHM. This includes loss connected with reliance on market data, levels, calculations, alerts, notifications, advertising, third-party services, interruption, or unauthorized access. Nothing in these Terms limits liability that cannot lawfully be limited, including liability for fraud, willful misconduct, gross negligence where it cannot be limited, or death or personal injury caused by negligence. 16. PRIVACY The SHM Privacy Policy explains our data practices and forms part of your relationship with us. Advertising consent and marketing preferences must remain separate from acceptance of these Terms where required by law. 17. APP-STORE TERMS Your use of the downloaded app is also subject to the rules of the store from which you obtained it. For an iOS download, Apple's Standard Licensed Application End User License Agreement applies to the license for the app unless a valid custom EULA is entered in App Store Connect. It is available at https://www.apple.com/legal/internet-services/itunes/dev/stdeula/. Apple is not responsible for operating or supporting SHM, and Apple is not a party to SHM's account or service relationship with you except as stated in Apple's terms. For an Android download, the Google Play Terms of Service and applicable Google Play rules also apply. Google is not responsible for operating or supporting SHM. 18. CHANGES TO THESE TERMS We may update these Terms when the Service, business model, providers, or law changes. We will publish the new version and effective date and provide appropriate notice. If a material change requires renewed agreement, SHM will ask you to accept the new version before continuing. Changes do not apply retroactively unless law requires or permits it. 19. GOVERNING LAW AND DISPUTES These Terms are governed by the laws of the Arab Republic of Egypt, without regard to conflict-of-law rules. Subject to any mandatory consumer-protection right to bring a claim elsewhere, the competent courts of ALEXANDRIA, EGYPT will have jurisdiction. Before filing a claim, you and SHM agree to try in good faith to resolve the issue by contacting the other party and allowing 30 days for a response, unless urgent relief or mandatory law makes that impracticable. Nothing in this section prevents either party from seeking urgent protective relief or using a regulator or consumer process available by law. 20. GENERAL TERMS If a provision is unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue. Our failure to enforce a provision is not a waiver. You may not transfer your rights under these Terms without our consent; we may transfer these Terms as part of a merger, reorganization, financing, or sale of the business, subject to law. These Terms and the documents incorporated into them are the agreement between you and us about the Service, subject to rights that cannot be excluded. 21.
